Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Soly ("we," "us," or "our") governing your access to and use of the Soly mobile application (the "App").

By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the App.

2. Eligibility

You must be at least 13 years of age (or 16 years in the European Union) to create an account and use the App. By using the App, you represent and warrant that you meet the applicable minimum age requirement and have the legal capacity to enter into these Terms.

If you are under the age of 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Description of Service

Soly is a personal mood tracking and journaling application that provides:

• Mood logging with emotion levels and contextual tags
• Personal journaling with guided prompts
• Visual statistics, including charts, calendar heatmaps, and correlations
• AI-powered weekly mood analysis reports (Soly Pro)
• AI-generated personalized artwork from mood data (Soly Pro)
• Streak tracking for habit building

4. Account Registration and Security

To use the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorized access to or use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

5. Subscriptions and Payments

5.1 Soly Pro Subscription

Certain features of the App, including AI-powered weekly reports and personalized artwork generation, require an active Soly Pro subscription. Core features — including mood logging, journaling, statistics, and streak tracking — are available without a subscription.

5.2 Billing and Auto-Renewal

• Soly Pro is offered as a monthly or yearly auto-renewable subscription.
• Payment is charged to your Apple ID account at confirmation of purchase.
• Your subscription automatically renews unless you cancel it at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price.
• You can manage and cancel your subscription at any time through your Apple ID Account Settings.
• No cancellation of the current subscription is allowed during the active subscription period.

5.3 Free Trial

If a free trial is offered, the unused portion of the free trial period will be forfeited when you purchase a subscription. Free trial eligibility is determined by Apple and may be limited to one trial per Apple ID.

5.4 Price Changes

We reserve the right to change subscription pricing. Any price changes will take effect at the start of the next subscription period following the date of the price change. Your continued use of Soly Pro after a price change constitutes your agreement to the new price.

5.5 Refunds

All purchases are processed by Apple. To request a refund, please contact Apple Support or visit reportaproblem.apple.com in accordance with Apple's refund policies.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the App, its servers, or any related systems.
• Interfere with or disrupt the integrity or performance of the App.
• Upload, transmit, or distribute any viruses, malware, or other harmful code.
• Impersonate any person or entity, or misrepresent your affiliation.
• Use the App in any manner that could harm yourself or others.
• Reverse-engineer, decompile, or disassemble any portion of the App.
• Use automated systems (bots, scrapers) to access the App.

Violation of these restrictions may result in immediate termination of your account.

7. Intellectual Property

7.1 Our Property

The App, including its design, source code, graphics, AI models, trademarks, and all related intellectual property, is owned by Soly and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

7.2 Your Content

You retain ownership of all content you create within the App, including mood entries, journal writings, and text. By using the App, you grant us a limited, non-exclusive license to:

• Store and process your content to provide and improve the App's services.
• Generate AI-powered insights and artwork from your data (when you enable AI features).
• Create aggregated, de-identified analytics that cannot be traced back to you.

This license terminates when you delete your account.

7.3 AI-Generated Artwork

Artwork created by Soly's AI based on your mood data is yours. You may use, share, and distribute it freely for personal and non-commercial purposes.

8. AI Features Disclaimer

Soly's AI-powered features are designed to provide general wellness insights and creative expression. You acknowledge and agree that:

• AI-generated reports and suggestions are for informational and self-reflection purposes only. They do not constitute medical advice, psychological diagnosis, or treatment.
• AI features do not replace the care of a licensed mental health professional, therapist, counselor, or physician.
• AI-generated content may occasionally be inaccurate, incomplete, or not applicable to your specific situation.
• You should not make health decisions solely based on AI-generated insights from the App.

9. Privacy and Data

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to our data practices as described in the Privacy Policy.

You may delete your account and all associated data at any time through Settings → Account → Delete Account. Upon deletion, your data will be permanently removed within 30 days.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure.
• AI-generated content will be accurate, complete, or reliable.
• The App will meet your specific requirements or expectations.
• Any defects in the App will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Soly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the App, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

• You may stop using the App and delete your account at any time.
• We may suspend or terminate your access to the App at our discretion if you violate these Terms, with or without prior notice depending on the severity of the violation.
• Upon termination, your right to use the App ceases immediately. You may request to export your data prior to account deletion.
• Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English.

15. Apple-Specific Terms

If you access the App through the Apple App Store, the following additional terms apply:

• These Terms are between you and Soly only, not with Apple Inc. ("Apple"). Soly, not Apple, is solely responsible for the App and its content.
• Apple has no obligation to provide any maintenance or support services for the App.
• In the event of any failure of the App to conform to applicable warranties, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims relating to the App, including product liability claims, regulatory compliance, or intellectual property claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government prohibited or restricted party list.

16. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Soly regarding the App and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, or internet service disruptions.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" above and notify you through the App or via email. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Terms.
